**SOFTWARE AND TRADEMARK LICENSING AGREEMENT**

This Software and Trademark Licensing Agreement ("Agreement") is made and entered into as of the date of acceptance by completing the Contact form (the "Effective Date"), by and between the undersigned licensee ("Licensee") as RKM ("Licensor").

### 1. LICENSE GRANT
1.1 **Software License**: Licensor grants Licensee a non-exclusive, non-transferable, and revocable license to use the free computer software ("Software") provided by Licensor.
1.2 **Trademark License**: Licensor grants Licensee a non-exclusive, non-transferable, and revocable license to use the Fractal Bitcoin TM trademark ("Trademark") solely in connection with the Software.

### 2. LICENSEE RIGHTS AND OBLIGATIONS
2.1 **Further Licensing**: Licensee may sublicense the Software to others through the Licensor's website only.
2.2 **Advance Licensing Fee Royalties**: Upon acceptance of this Agreement, Licensee will receive 100,000,000 FREE Satoshi Coins (sat's) as an advance on licensing fee royalties.
2.3 **Wallet Setup**: Licensee must contact Licensor to set up a FREE wallet to receive the Sats Coins. The wallet address will serve as the Licensee's licensing ID.

### 3. SATS COINS REQUIREMENT
3.1 **Licensing Fees**: Sats Coins are required to pay applicable licensing fees.
3.2 **Referral Bonus**: Licensee will receive 100,000,000 sat's (Sats Coins) for each new licensee referred to Licensor's website. Each new licensee must hold at least one sat's coin per bitcoin sat unit in their wallet address.

### 5. TERM AND TERMINATION
5.1 **Term**: This Agreement shall commence on the Effective Date and continue until terminated by either party.
5.2 **Termination**: Either party may terminate this Agreement at any time, with or without cause, upon written notice to the other party.

### 6. DISCLAIMER OF WARRANTIES
THE SOFTWARE AND TRADEMARK ARE PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

### 7. LIMITATION OF LIABILITY
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF USE, DATA, OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

### 8. GENERAL PROVISIONS
8.1 **Entire Agreement**: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, regarding the subject matter hereof.
8.2 **Governing Law**: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Licensor is based.
8.3 **Amendments**: Any amendments or modifications to this Agreement must be in writing and signed by both parties.
8.4 **Severability**: If any provision of this Agreement is found to be unenforceable or invalid, such provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable.
